Terms of Service

These Terms govern business use of the AgentClose website, console, API, and reconciliation service.

1. The service

AgentClose provides post-payment event collection, transaction correlation, exception detection, reporting, exports, and related tools for AI-agent workflows.

AgentClose is not a bank, wallet, payment processor, money transmitter, accountant, or financial adviser. It does not hold funds, store wallet private keys, sign transactions, authorize purchases, or guarantee payment or service delivery.

2. Eligibility and accounts

You must be able to enter a binding agreement for the business you represent. Access may be invitation-only. You are responsible for accurate account information, authorized users, credentials, API keys, and all activity under your workspace. Notify us promptly of suspected unauthorized access.

3. Customer data and responsibilities

You retain ownership of data you submit. You grant AgentClose the limited right to process that data to provide, secure, support, and improve the service. You are responsible for having the rights and lawful basis needed to submit data and for configuring your upstream payment and agent systems.

Do not submit wallet private keys, card security codes, authentication secrets, special-category personal data, or content not needed for reconciliation.

4. Plans, billing, and taxes

Current pricing and included usage are shown on the Pricing page. Subscription checkout, taxes, invoices, renewals, and payment processing are provided by Creem as merchant of record. Paid plans renew automatically until canceled.

Trial and cancellation terms shown at checkout apply. Plan limits may restrict new event ingestion after a quota is reached. Refund requests are governed by our Refund Policy and applicable law.

5. Acceptable use

You may not use AgentClose to break the law, violate third-party rights, compromise security, probe or disrupt the service, bypass usage limits, distribute malware, or process transactions for prohibited activity. You may not resell access or reverse engineer the service except where law expressly permits it.

6. Service changes and availability

We work to keep AgentClose available and accurate, but the service is provided on an “as is” and “as available” basis to the extent permitted by law. Reconciliation results depend on the completeness and accuracy of customer and provider events. We may change features, impose reasonable limits, or perform maintenance.

AgentClose is designed as an asynchronous observer. Customers should not make payment authorization or safety-critical decisions solely from its availability.

7. Disclaimers and liability

To the maximum extent permitted by law, AgentClose disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AgentClose is not liable for indirect, incidental, special, consequential, or lost-profit damages.

To the maximum extent permitted by law, total liability relating to the service will not exceed the fees paid for AgentClose during the three months before the event giving rise to the claim. This limit does not apply where it is prohibited by law.

8. Suspension and termination

You may stop using the service and cancel a subscription through the available billing portal. We may suspend or terminate access for non-payment, security risk, material breach, unlawful use, or harm to the service or others. Sections that by nature should survive termination will survive.

9. Changes, disputes, and contact

We may update these Terms by posting a revised version and changing the date above. Continued use after an update means acceptance where permitted by law. These Terms are governed by applicable law, without overriding mandatory protections that cannot legally be waived.
